Company Secretary Course

The ICSI conducts the Company Secretaryship examination to bring in high level professionals specialized in corporate laws, management and governance. The Company Secretaryship Course is conducted in three stages:


  1. Foundation Programme.
  2. Executive Programme.
  3. Professional Programme.

The Students who would like to join the course after passing the graduation has to undergo two stages of Company Secretaryship:

  1. Executive Programme.
  2. Professional Programme.

Admission Fee for CS Foundation Programme is: Rs. 4500/-
Admission to the CS course is open throughout the year.

Foundation Programme which is of eight months duration can be pursued by 10+2 pass or equivalent students of Arts, Science or Commerce stream (Excluding Fine Arts). No minimum pass percentage. The ICSI conducts Company Secretary Examination twice a year in June and December. Students have to register online at www.icsi.edu. Cut off dates for CS foundation is 31 st March for appearing in December examination in the same year and 30 th September for June examination in next year. Admission Fee for CS Foundation Rs. 4,500/-. Students should note that Foundation Programme Examination is Optical Mark Recognition (OMR) Based Examination. The question paper for a subject contains 100 Multiple Choice Questions (MCQs) and since the examination pattern is MCQs the students should study the complete study material thoroughly and concentrate on the concepts rather than cramming the theory.

There are 4 papers in CS Foundation Programme:- 1. Business Environment and Entrepreneurship. 2. Business Management, Ethics and Communication. 3. Business Economics. 4. Fundamentals of Accounting and Auditing.

Examination Fee for CS Foundation Rs. 1,200/-.Last date for submission of exam fees 25 th March for appearing in June examination (with late fee of Rs. 250/- till 9 th April) and 25 th September for appearing in December Examination (with late fee of Rs. 250/- till 10 th October).

A candidate is declared to have passed the Foundation if he/she secures at one sitting a minimum of 40% marks in each paper and 50% marks in the aggregate of all subjects.

Objective
Foundation Programme requires students to obtain: (i) Exposure to elements of business laws and entrepreneurship
(ii) Acquaint with the basic principles of management, ethics and communication
(iii) Get familiarize with basic concept and theories of economics, elementary statistics and mathematics.
(iv) Develop an understanding of the basic principles of accounting, auditing concepts and their principles.
Foundation Programme lays foundation for making Corporate Governance Professional and prepares the students to handle the roadblocks.

After clearing Foundation Programme successfully here comes the Second Stage “Executive Programme”. Executive Programme can be pursued by a Graduate of all streams except Fine Arts / CPT passed of ICAI / Foundation Program passed of ICAI-CMA. Graduates in any stream excluding Fine Arts or candidates who have passed the Foundation Examination are eligible to join Executive Programme.
ICSI conducts Company Secretary Examination twice a year in June and December. Students have to register online at www.icsi.edu. Cut off dates for CS Executive is 28 th February for appearing in both modules and 31 st May for appearing in single module in December Exams in the same year or, 31 st August for appearing in both modules and 30th November for appearing in single module in June Examination in the next year.
Admission Fee for CS Executive Programme is: >  Rs.9000/- for Commerce Graduates / CPT passed of ICAI / Foundation passed of ICAI-CMA.
>  Rs 10,000/- for Non Commerce Students.
>  Rs 8,500/- for CS Foundation passed students.

Objective
Executive Programme requires students to obtain:
(i) Expert knowledge of the provisions of Law by developing an understanding of the regulation of companies. Various securities Laws such as Securities Contracts (Regulation) Act 1956, SEBI Act 1992 understanding of certain industrial, labour and general legislations which have direct bearing on the functioning of Corporate Sectors and Society.
(ii) Knowledge of principles and techniques of Costing and Managing provides optimum utilisation of existing resources. Indispensable discipline for corporate management, to solve problems and guides them in decision making.
(iii) Working knowledge sustentative provisions of income tax, wealth tax, service tax and value added tax
(iv) Advance knowledge of the principles and practices of company accounts and auditing in accordance with statutory requirements.

Once the foundation is laid, executive programme helps students to understand nitty gritty of the CS Course and learn the core content.

After clearing two levels i.e., Foundation and Executive Programme a student reaches to the Final Level that is, “Professional Programme”. Professional Programme can be pursued only after clearing the Executive Programme of CS Course.

Objective

Professional Programme requires the students to obtain:
(i) Knowledge to take right strategic decisions by analyzing governance facets. Secretarial Audit and Secretarial Standards accentuate the governance platform and compliance management.
(ii) Better strategies both during economic prosperity and recession which includes restructuring strategies such as Mergers, Acquisitions, takeovers, demergers, revival, restructuring etc.
(iii) Working Knowledge about Information Technology Act, Information System, computer hardware and software, data base management, Enterprise Resource Management, e-governance and systems audit.
(iv) Conceptual clarity about the financial tools and techniques. Knowledge of derivatives, forex and treasury management to enable the students to tackle the practical situation with ease.
(v) Develop high calibre professionals facilitating good corporate governance.
(vi) Expert Knowledge of Direct Tax laws and Indirect Tax laws
(vii) Equip the students with legal drafting abilities, legal framework pertaining to appearances before various tribunals / quasi judicial bodies and the basic understanding of the principles of pleadings.

Professional Programme is the advance level of CS Course where students learn about global topics and learn major professional skills and etiquettes.

The students are required to undergo the following trainings:
1. 7 days Student Induction Programme (SIP) - within six months of Registration to Executive Programme or exempted therefrom for becoming eligible to seek enrolment to appear in Executive Program Examination.

2. 70 hours compulsory computer training program - for becoming eligible to seek enrolment to appear in Executive Program Examination.

3. 8 days Executive Development Programme (EDP) - after passing the Executive Programme and before commencement of 15 months training.

4. 25 hours of Professional Development Programme (PDP) during 15 months training.

5. 15 months training after passing the Executive Programme or Professional Programme on completion of Student Induction Program and Executive Development Program with companies and Company Secretaries in Practice registered with the Institute for imparting training

6. 3 months practical training is required to be undergone by the student if the student completes professional program examination and exempted from undergoing at least 12 months training on the basis of Company Secretaries Regulations,1982, as amended on submitting the documents to the Institute and fulfills the requirement of Regulation 48. This training will be exempted to the students who have undergone 15 months training.
7. 15 days training in a specialized agency such as Registrar of Companies (ROC) / Stock Exchange / Financial and Banking Institution/Management Consultancy Firm can only be commenced if the student completes SIP,EDP , 15 months training and having passed professional program examination.

8. 15 days Management Skills Orientation Programme (MSOP)- after Professional Programme and on completion of Executive Development Program and 15 months training

> The students can be exempted from undergoing training totally or partially depending on the practical experience possessed by them on fulfilling the requirement of the Company Secretaries Regulations,1982, as amended, on submitting the relevant documents.
>   A student after passing the Professional Programme may enroll as ‘Licentiate ICSI’ at his/her option until completion of training requirements.
