Company Secretary Course

The ICSI conducts the Company Secretaryship examination to bring in high level professionals specialized in corporate laws, management and governance. The Company Secretaryship Course is conducted in three stages:


  1. CSEET Programme.
  2. Executive Programme.
  3. Professional Programme.

COMPANY SECRETARY EXECUTIVE ENTRANCE TEST (CSEET)

Company Secretary Executive Entrance test (CSEET) is the only qualifying entrance test for registration to the CS Executive Programme.

The purpose and object of CSEET is to attract meritorious students and to test their aptitude for the Company Secretary profession, keeping in view the diverse academic standards of students seeking admission in the Company Secretary-ship Course.

The candidates appearing/passed in class 12th examinations, in any Stream, shall be eligible for appearing in the CSEET.

Admission Fee for CSEET is Rs. 1,000/-.

CSEET is conducted four times in a year, i.e., in the months of May, July, November and January.

The cut-off dates for registration to CSEET are as follows:

(a) Registration between 16th December to 15th April for May Examination;

(b) Registration between 16th April to 15th June for July Examination;

(c) Registration between 16th June to 15th October for November Examination; and

(d) Registration between 16th October to 15th December for January Examination.

CS Executive Entrance Test (CSEET) shall be conducted on a single day, of 135 minutes duration, consisting of Four Papers, namely:

(i) Business Communication (50 Marks);

(ii) Legal Aptitude & Logical Reasoning (50 Marks);

(iii) Economic and Business Environment (50 Marks); and

(iv) Current Affairs & Viva Voce on “Presentation and Communication Skills” (50 Marks).

The CSEET is an Online Computer Based Examination, conducted in MCQ pattern.

Candidates shall be declared ‘PASS’ in CSEET on securing 40% marks in each paper and 50% marks in the aggregate.

CS EXECUTIVE PROGRAMME

After qualifying Company Secretary Executive Entrance test (CSEET), here comes the second stage, CS Executive Programme.

Once the foundation is laid at the CSEET level, CS Executive Programme helps the students to understand nitty-gritty of the Company Secretary Course and learn the core content.

Following candidates are eligible for admission to CS Executive Programme:

Ø CS Executive Entrance Test (CSEET) passed students;

Ø CS Foundation Programme passed students

Ø ICAI (The Institute of Chartered Accountants of India) Final Course passed students; and

Ø ICMAI (The Institute of Cost Accountants of India) Final Course passed students.

Admission Fee for CS Executive Programme is Rs. 8,500/-, for CSEET & Foundation Passed Students. However, Admission Fee for CS Executive Programme is Rs. 13,500/-, for ICAI & ICMAI Passed Students.

CS Executive Programme Examination is conducted twice in a year, i.e., in the months of December and June. The cut-off dates for registration to CS Executive Programme are as follows:

(a) Registration up to 31st May – Eligible for both the modules in December Examination;

(b) Registration up to 31st July – Eligible for only one module in December Examination;

(c) Registration up to 30th November – Eligible for both the modules in June Examination; &

(d) Registration up to 31st January – Eligible for only one module in June Examination.

CS Executive Programme comprises of the following Eight Papers:

Module I (4 Papers):

1. Jurisprudence, Interpretation and General Laws

2. Company Law

3. Setting up of Business Entities and Closure

4. Tax Laws

Module II (4 Papers):

5. Corporate and Management Accounting

6. Securities Laws and Capital Market

7. Economic, Business and Commercial Laws

8. Financial and Strategic Management.

Candidates shall be declared ‘PASS’ in one module of CS Executive Programme on securing 40% marks in each paper of the module and 50% marks in the aggregate of all the four papers of the module.

In case a candidate appears in both the modules of CS Executive Programme in one attempt, then he/she shall be declared ‘PASS’ in both the modules of CS Executive Programme on securing 40% marks in each paper of both the modules and 50% marks in the aggregate of all the eight papers of both the modules, irrespective of this fact whether or not he/she has scored 50% marks in the aggregate module-wise.

CS PROFESSIONAL PROGRAMME

After qualifying CS Executive Programme stage, here comes the third and last stage, CS Professional Programme.

CS Professional Programme is the advance level of Company Secretary Course wherein the students learn about global topics and acquire major professional skills and etiquettes.

The candidates, who have passed the CS Executive Programme, are eligible for admission to CS Professional Programme.

Admission Fee for CS Professional Programme is Rs. 12,000/-.

CS Professional Programme Examination is conducted twice in a year, i.e., in the months of December and June. The cut-off dates for registration to CS Professional Programme are as follows:

(a) Registration up to 31st May – Eligible for all the modules in December Examination;

(b) Registration up to 31st July – Eligible for only one module in December Examination;

(c) Registration up to 30th November – Eligible for all the modules in June Examination; &

(d) Registration up to 31st January – Eligible for only one module in June Examination.

CS Professional Programme comprises of the following Nine Papers:

Module I (3 Papers):

1. Governance, Risk Management, Compliances and Ethics

2. Advanced Tax Laws

3. Drafting, Pleadings and Appearances

Module II (3 Papers):

4. Secretarial Audit, Compliance Management and Due Diligence

5. Corporate Restructuring, Insolvency, Liquidation and Winding-up

6. Resolution of Corporate Disputes, Non-compliances and Remedies

Module III (3 Papers):

7. Corporate Funding & Listing in Stock Exchanges

8. Multi-disciplinary Case Studies (Open Book Examination)

9. One Elective Paper out of various options (Open Book Examination)

Candidates shall be declared ‘PASS’ in one module of CS Professional Programme on securing 40% marks in each paper of the module and 50% marks in the aggregate of all the three papers of the module.

In case a candidate appears in all the modules of CS Professional Programme in one attempt, then he/she shall be declared ‘PASS’ in all the modules of CS Professional Programme on securing 40% marks in each paper of all the modules and 50% marks in the aggregate of all the nine papers of all the modules, irrespective of this fact whether or not he/she has scored 50% marks in the aggregate module-wise.

PRACTICAL EXPERIENCE AND TRAINING

A student is required to complete the following training requirements, as per the new training Structure:

a) Executive Development Programme (EDP) of one month duration after passing of Executive Programme examination;

b) Practical Training for Twenty One months after completion of Executive Development Programme on whole time basis during normal working hours,-

i. in a company having a Company Secretary in whole time employment or any other company fulfilling such criteria as may be determined by the Institute; or

ii. under a Company Secretary in whole-time practice fulfilling such criteria as may be determined by the Institute; or

iii. in any other body corporate or institution or organisation or entity fulfilling such criteria as may be determined by the Institute;

c) After passing the Professional Programme Examination, a Corporate Leadership

Development Programme (CLDP) for not less than thirty days but not exceeding sixty days as may be determined by the ICSI.

After passing CS Professional Examination and completing the aforesaid training requirements, a candidate becomes a qualified Company Secretary and Member of Institute of Company Secretaries of India (ICSI).
